Definitions
Reverso is a trademark of Reverso SAS and refers to a range of translation and linguistic products and services available online and as mobile applications. Reverso products may include interfaces, data, and a set of "translation engines" or additional linguistic technologies such as speech recognition, optical character recognition (OCR), text-to-speech, and file conversion.
"Translation engine" refers to a software program or API that converts written text from one language to another.
"Publisher" refers to Reverso SAS, the legal entity holding the publishing, distribution, and intellectual property rights of a software product.
"Host" refers to the legal entity providing content (text, images, audio, or video) and/or specific services to Intranet Users.
"Licensee" refers to the company, organization, or individual that has entered into an agreement with Reverso to access the service or to receive a license for on-premise installation.
"User" refers to any individual who accesses the Reverso Corporate Translator service via an Intranet or the Internet, typically an employee of the Licensee.
When the software is used in SaaS mode, the "Host" is Reverso. When used in "on-premise" mode, the Host is the Licensee.
"Document" refers to a text, image, audio, video, or any combination thereof.
- Purpose of the Agreement

This agreement defines the terms and conditions for using the Reverso Corporate Translator service provided by the Host to Users operating the Publisher's software.
Intellectual Property Rights for Reverso Corporate Translator
Reverso SAS is the publisher and sole owner of the Reverso Corporate Translator platform, including its user interface and APIs.
The interface and all its components, methods, and designs are the exclusive property of Reverso.
The Reverso® trademark is owned by Reverso SAS, registered in France SIRET n°33530999300079, and is protected internationally.
- Hosting, Security, and Data Sovereignty

The Reverso Corporate Translator solution is hosted within the European Union. No data is transferred outside the European Union. Usage metadata is pseudonymized and used solely for contractual monitoring (SLA, reporting, continuous improvement).
Reverso exclusively engages European subcontractors compliant with the GDPR.
- Rights to Documents and Translations

In the B2B context of Reverso Corporate Translator, rights to documents and their translations remain entirely with the user organization (the Licensee). Reverso asserts no ownership or usage rights over any content submitted to or generated via the Reverso Corporate Translator platform.
Before submitting any document to the service, the User must ensure they are authorized to do so, either as the author or with written permission from the copyright holder. Neither the Host nor the Publisher shall be held liable in the event of non-compliance with this clause.
- User Obligations

The User agrees to use the Reverso Corporate Translator service in accordance with the laws applicable in their country, the country of the Host (France), and all clauses of this agreement.
The User agrees not to alter the service interface, which is the Publisher's property, nor to integrate the service in its current form into another service, whether for free or for profit.
The User agrees not to use any part of the Reverso Corporate Translator service without its full user interface, to refrain from obscuring any logos or copyright notices, and not to provide the service to unauthorized users or outside the licensed framework.
In cases of API integration, the User must ensure that requests to the service are made exclusively by systems or users explicitly authorized under the terms of the license.
The output of the translation process may only be used by the end user who provided the original input and must not be reproduced or made available to any unauthorized third parties.
The User must ensure that submitted documents do not contain software viruses, malware, or any other harmful code, and do not exceed the service's size limitations.
- Licensee Obligations

The Licensee commits to pay the license fees as agreed in the commercial agreement between the parties. For usage-based pricing models, the Licensee accepts the Publisher’s usage count and reporting methodology as the basis for billing calculations.
- Responsibility of the Host and the Publisher

The Publisher and Host commit to delivering a service that complies with the contractual specifications agreed upon with the Licensee.
The Host's responsibility for service availability is limited to the interface between the Reverso software and the User. The Host accepts no liability for intranet failures or other circumstances beyond its control.
All translations are provided "as is" without warranty of any kind, either express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. The Publisher and Host are not liable for any misuse of translations or resulting consequences.
The Publisher and Host makes its best efforts to maintain service quality and availability. However, it shall not be liable for any service interruption, malfunction, data loss, or quality issues, except for gross negligence or willful misconduct, and subject to any specific commitments that may be set forth in a separate Service Level Agreement with the Licensee.
- Personal Data Protection

The Host and Publisher commit to complying with applicable data protection regulations, particularly the General Data Protection Regulation (GDPR). For inquiries, Users may contact the Publisher via email at dpo@reverso.com.
In the context of Reverso Corporate Translator usage, the following data may be collected:
• User login credentials (when provided)
• Service usage metadata (usage statistics)
These data are processed solely for the following purposes:
• Access management
• Contractual monitoring and SLA compliance
• Continuous service improvement
The data are retained for the duration of the contract with the Licensee and up to 12 months after termination for reporting purposes.
In accordance with the GDPR, Users have the right to access, rectify, delete, and port their personal data. These rights may be exercised through the Licensee, who serves as the data controller and may contact the Publisher regarding such requests.
The Host and Publisher do not retain copies of translated documents beyond the time necessary to perform the translation, unless explicitly requested by the Licensee for service improvement purposes.
The Host and Publisher does not store personal data in translated content and does not keep logs of usage activity, texts, or documents translated. Only quantitative usage statistics are tracked for contractual monitoring and reporting purposes.
For quality assurance purposes, in case of technical issues and at the specific request of the Licensee, the Publisher may temporarily access technical logs to identify and resolve service problems.
- Force Majeure

Neither the Host nor the Publisher shall be held liable for any failure or delay in fulfilling their obligations due to force majeure events as defined by French case law.
- Online Help and Support

Online help regarding the features of Reverso Corporate Translator is provided to Users by the Publisher. Email support is also available to the Licensee and Users via the platform or at support_corporate@reverso.com. The Publisher is not obligated to provide technical support by any other means (e.g. phone).
- Term and Termination

The term of this usage agreement is tied to the duration of the commercial agreement between the Publisher and the Licensee.
In the event of a serious breach by the User of the obligations set forth in these terms, the Publisher reserves the right to suspend or terminate access to the service after notifying the Licensee.
- Acceptance of the Agreement

By using Reverso Corporate Translator, the User accepts all terms of this agreement. Otherwise, they must not use the service.
- Governing Law

The User is deemed to have accepted these terms upon initiating a translation by entering text or uploading a file.
These terms may be updated from time to time. The Licensee will be notified of any updates by the Publisher.
This agreement is governed by French law. In case of disputes relating to its interpretation and/or execution, only French courts shall have jurisdiction.
